The legal terms governing your use of NextBuild's services, prototypes, and deliverables.
These Terms of Service ("Terms") govern the working relationship between you ("Client") and NextBuild ("Consultant"). By booking a session, engaging in scope or delivery work, or using any prototypes or deliverables provided by NextBuild, you agree to these Terms.
Prototype sessions are exploratory and delivered "as is" for discovery purposes. They do not include code handoff unless explicitly stated in a follow-on statement of work (SOW).
You agree not to redistribute or use prototype artifacts in production without a signed SOW covering scope, pricing, and ownership terms.
All paid engagements are defined in a mutually approved SOW detailing scope, fees, timelines, and payment terms. SOW terms supersede these Terms only for the scope described. Any work outside of an SOW is handled at NextBuild's discretion.
Upon full payment for a given SOW, ownership of custom code, prototypes, and deliverables transfers to the Client, excluding third-party dependencies, tools, or open-source components used during development.
NextBuild retains the right to reuse generalized patterns, non-confidential learnings, or boilerplate code that does not reveal proprietary Client information.
Both parties agree to protect proprietary or confidential information shared during the engagement. Any public mention, portfolio inclusion, or case study will only occur with written permission.
Invoices are due on receipt unless otherwise stated in writing. Late payments may pause delivery schedules until the balance is cleared.
Prototype sessions can be rescheduled with at least 24 hours' notice. Cancellations under 24 hours or repeated no-shows may result in declining future bookings.
For delivery engagements, NextBuild provides a 30-day bug-fix window covering defects directly related to agreed scope. Enhancements, change requests, or third-party issues fall outside of warranty and require additional scope.
NextBuild is not liable for indirect, incidental, or consequential damages, including lost revenue or data, arising from the engagement. Total liability is limited to the fees paid for the applicable SOW.
The parties operate as independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
NextBuild may update these Terms periodically. Continued engagements following an update constitute acceptance of the revised Terms, which will be dated accordingly.
